1. Agreement Scope

Please read this End User License Agreement (“EULA” or “Terms”) carefully. By downloading, installing, or executing the containerized software (the “Software”), or purchasing an active license key, you enter into a binding legal contract with PackC Systems, Inc. (“Licensor”). If you do not agree to these terms, you are not authorized to download, install, or run the Software.

2. License Grant & Capacity Limits

Subject to Licensee's compliance with these Terms and payment of the annual licensing fees, Licensor grants you a non-exclusive, non-transferable, revocable license to deploy and execute the Software on your own physical or virtual servers:

• Capacity Limits: Your installation is bound to the total plant capacity or manufacturing site count specified in your billing tier. Opening additional plant profiles on the dashboard beyond your license capacity limit requires an active tier upgrade.
• Seats Limit: Your license grants permission to set up unlimited salesperson accounts, estimator accounts, and client portals within your active site profiles.

3. Prohibited Conduct

As a condition of your license grant, you agree that you will not:

• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software's compiled binary engine.
• Modify or bypass the license verification module which checks in with Licensor's validation server.
• Redistribute, rent, lease, sub-license, or publish the container images to public hubs or third-party marketplaces.

4. Maintenance & Support SLAs

Maintenance updates, security patches, and support response times are governed by your active licensing tier. Standard support is provided via email, while Business and Enterprise tiers include dedicated support SLAs. We are not responsible for resolving configuration issues resulting from your host operating system anomalies, network outages, or hardware failures.

5. Disclaimer of Warranties & Liability Limits

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO FIT FOR A PARTICULAR PURPOSE.

Because the Software runs entirely on your own self-hosted infrastructure, Licensor shall not be held liable for any loss of database data, manufacturing downtime resulting from calculation errors, configuration issues, server security breaches, or direct/indirect damages arising from the use of the CPQ.

6. Intellectual Property

All patents, copyrights, trademark rights, and trade secrets in the Software, its templates, algorithms, and documentation are and remain the exclusive property of PackC Systems, Inc..
